This Agreement describes the terms and conditions applicable to your use of all services ("Services") at Half-Lime.com web site ("Web Site").

You acknowledge and agree that such cancellation will be your exclusive remedy and our sole liability if you do not wish to abide by any changes to this Agreement or any additional rules or policies that are or may be published by Half-Lime.com.

Accuracy of Information Submitted to Half-Lime.com.
You are solemnly responsible for the truth and accuracy of all information you provide publicly or privately to us or other Users during the registration, or in any public message area, including but not limited to chat, discussion forms, and your e-mail. Ownership of Data.
You acknowledge and agree that Half-Lime Inc. owns all database information, collective and similar rights, title and interests worldwide and other proprietary information databases, and all information.
Ownership of the digital media and all copyrights to such media shall remain with the original owner of the copyright.
Half-Lime Inc. Intellectual Property.
No User shall receive any right, license or permission to use, manipulate, reproduce any of the Half-Lime.com trademarks, copyrights, content, or other intellectual property rights without the prior written permission of Half-Lime Inc.
Return Policy.
All sales are final. No returns or refunds on any purchase. Refunds are allowed only AT THE SOLE DISCRETION OF Half-Lime Inc. We recommend you to check the prices, fees and terms before subscribing to the Service or placing an order. In the event of an unresolvable creative dispute between Client and Half-Lime Inc. with regard to an edit performed by Half-Lime.com, whereby no downloads of the media files have occurred, upon written request by Client, a refund may be granted AT THE SOLE DISCRETION OF Half-Lime Inc.

Limitation of Liability.

HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL HALF-LIME INC. MAXIMUM AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES. BECAUSE SOME PROVINCES OR STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
General Compliance with Laws.
You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Services, including, but not limited to, listing or purchasing, of selling of a Registration. General.
Your rights and obligations and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and the New York State, as if the Agreement was a contract wholly entered into and wholly performed within the New York State. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. On occasions, Half-Lime Inc. will send you information about our promotions or news updates. Users have the opportunity to opt-out from receiving these notifications. The failure of Half-Lime Inc. to require your performance of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by Half-Lime Inc. of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of this Agreement shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole. Half-Lime Inc. will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent of Half-Lime Inc. as reflected in the original provision. You acknowledge and agree that, to the extent necessary, it is your responsibility to: (a) provide all equipment, including a computer and modem, necessary for you to establish a connection to the Internet; and (b) provide for your own connection to the Internet and pay any telephone/cable or other service fees associated with such connection. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
Spamming
Spamming, whether or not it overloads the Services or disrupts service to Half-Lime.com's Subscribers, is prohibited. The term "spamming" includes, but is not limited to, the sending of unsolicited bulk and/or commercial message over the Internet or maintaining an open SMTP policy. Half-Lime Inc. reserves the right to determine, in its sole and absolute discretion, whether e-mail recipients were from an opt-in email list.
Misrepresentation of Transmission Information
Forging, misrepresenting, omitting, or deleting message headers, return mailing information and/or Internet protocol addresses to conceal or misidentify the origin of a message is prohibited. Viruses and Other Destructive Activities Use of the Services for creating or sending Internet viruses, worms or Trojan horses, or for pinging, flooding or mail bombing, or engaging in denial of service attacks is prohibited. It is also prohibited for any Subscriber to engage in other activity that is intended to disrupt or interfere with, or that results in the disruption of or interference with, the ability of others to effectively use the Services (or any connected network, system, service or equipment) or conduct their business over the Internet.
Hacking
"Hacking" and related activities is prohibited. "Hacking" includes, but is not limited to, the following activities: illegally or without authorization, accessing computers, accounts or networks, penetrating or attempting to penetrate security measures, port scans, stealth scans, and other activities designed to assist in hacking.
Child Pornography
The use of the Services to store, post, display, transmit, advertise or otherwise make available child pornography is prohibited. Half-Lime Inc. is required by law, and will, notify law enforcement agencies when it becomes aware of the presence of child pornography on, or being transmitted through, the Services.
Other Illegal Activities
The use of the Services to engage in any activities that are determined by Half-Lime Inc., in its sole and absolute discretion, to be illegal is prohibited. Such illegal activities include, but are not limited to, storing, posting, displaying, transmitting or otherwise making available ponzi or pyramid schemes, fraudulently charging credit cards or displaying credit card information of third parties without their consent, and failure to comply with applicable on-line privacy laws. Half-Lime Inc. will cooperate fully with appropriate law enforcement agencies in connection with any and all illegal activities occurring on or through the Services.
Obscene, Defamatory, Abusive or Threatening Language
Use of the Services determined by Half-Lime Inc., in its sole and absolute discretion, to store, post, transmit, display or otherwise make available obscene, defamatory, harassing, abusive or threatening language is prohibited.
Other Activities
Engaging in any activity that, in Half-Lime Inc. sole and absolute discretion, disrupts, interferes with or is harmful to (or threatens to disrupt, interfere with, or be harmful to) the Services, Half-Lime.com's business, operations, reputation, goodwill, customers and/or customer relations, or the ability of Half-Lime.com's customers to effectively use the Services is prohibited. Such prohibited activities include making available any program, product or service that is designed to or could be used to violate this Usage Policy. In addition, the failure by a Subscriber to cooperate with Half-Lime Inc. in correcting or preventing violations of this Usage Policy by, or that result from the activity of, a customer of the Subscriber is a violation of this Usage Policy.
In general, Half-Lime Inc does selective monitoring of its customers' content or activities to determine whether they are in compliance with this Usage Policy. When Half-Lime Inc. becomes aware of any violation of this Usage Policy or its User Agreement, Half-Lime Inc. may take any action to stop or correct such violation, including, but not limited to, shutting down a website, denying access to the Services or to the Internet, and/or removing information. In addition, Half-Lime Inc. may take action against a Subscriber or a customer of such Subscriber because of the activities of such customer. Half-Lime.com reserves the right to take any such action even though such action may affect other customers of the Subscriber.
Half-Lime Inc. may disclose any information in its possession, including, without limitation, information about Subscribers, internet transmissions and website activity in order to comply with a court order, subpoena, summons, discovery request, warrant, statute, regulation or governmental request, to protect Half-Lime Inc. or others from harm, and/or to ensure the proper operation of the Services. Half-Lime Inc. has no obligation to notify any person, including the Subscriber about whom information is sought, that Half-Lime Inc. has provided the information.
Copyright Notice Infringement Information
In accordance with the Digital Millennium Copyright Act, Half-Lime Inc. has adopted a policy that provides for termination of content hosted by Half-Lime.com that is found to infringe on copyrights of third parties. If a copyright holder believes that there has been a violation of his or her copyright on Half-Lime.com or its subsidiaries, and the copyright holder wants Half-Lime Inc. to remove the website or disable the material in question, Half-Lime Inc. will remove the website or disable the material if the copyright holder provides us with all of the following information: A signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from jurisdiction to jurisdiction. No Warranties. Release.
In the event that you have a dispute with a Buyer, Seller, or any other User, you hereby acknowledge and agree to release Half-Lime Inc. and its agents and employees from any claims, demands and damages (both actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
Limitation of Liability.
YOU ACKNOWLEDGE AND AGREE THAT HALF-LIME INC. WILL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF HALF-LIME INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL HALF-LIME INC. MAXIMUM AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES. BECAUSE SOME PROVINCES OR STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
General Compliance with Laws.
You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Services, including, but not limited to, listing or purchasing, of selling of a Registration. General.
Your rights and obligations and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and the New York State, as if the Agreement was a contract wholly entered into and wholly performed within the New York State. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. On occasions, Half-Lime Inc. will send you information about our promotions or news updates. Users have the opportunity to opt-out from receiving these notifications. The failure of Half-Lime Inc. to require your performance of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by Half-Lime Inc. of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of this Agreement shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole. Half-Lime Inc. will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent of Half-Lime Inc. as reflected in the original provision. You acknowledge and agree that, to the extent necessary, it is your responsibility to: (a) provide all equipment, including a computer and modem, necessary for you to establish a connection to the Internet; and (b) provide for your own connection to the Internet and pay any telephone/cable or other service fees associated with such connection. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
Spamming
Spamming, whether or not it overloads the Services or disrupts service to Half-Lime.com's Subscribers, is prohibited. The term "spamming" includes, but is not limited to, the sending of unsolicited bulk and/or commercial message over the Internet or maintaining an open SMTP policy. Half-Lime Inc. reserves the right to determine, in its sole and absolute discretion, whether e-mail recipients were from an opt-in email list.
Misrepresentation of Transmission Information
Forging, misrepresenting, omitting, or deleting message headers, return mailing information and/or Internet protocol addresses to conceal or misidentify the origin of a message is prohibited. Viruses and Other Destructive Activities Use of the Services for creating or sending Internet viruses, worms or Trojan horses, or for pinging, flooding or mail bombing, or engaging in denial of service attacks is prohibited. It is also prohibited for any Subscriber to engage in other activity that is intended to disrupt or interfere with, or that results in the disruption of or interference with, the ability of others to effectively use the Services (or any connected network, system, service or equipment) or conduct their business over the Internet.
Hacking
"Hacking" and related activities is prohibited. "Hacking" includes, but is not limited to, the following activities: illegally or without authorization, accessing computers, accounts or networks, penetrating or attempting to penetrate security measures, port scans, stealth scans, and other activities designed to assist in hacking.
Child Pornography
The use of the Services to store, post, display, transmit, advertise or otherwise make available child pornography is prohibited. Half-Lime Inc. is required by law, and will, notify law enforcement agencies when it becomes aware of the presence of child pornography on, or being transmitted through, the Services.
Other Illegal Activities
The use of the Services to engage in any activities that are determined by Half-Lime Inc., in its sole and absolute discretion, to be illegal is prohibited. Such illegal activities include, but are not limited to, storing, posting, displaying, transmitting or otherwise making available ponzi or pyramid schemes, fraudulently charging credit cards or displaying credit card information of third parties without their consent, and failure to comply with applicable on-line privacy laws. Half-Lime Inc. will cooperate fully with appropriate law enforcement agencies in connection with any and all illegal activities occurring on or through the Services.
Obscene, Defamatory, Abusive or Threatening Language
Use of the Services determined by Half-Lime Inc., in its sole and absolute discretion, to store, post, transmit, display or otherwise make available obscene, defamatory, harassing, abusive or threatening language is prohibited.
Other Activities
Engaging in any activity that, in Half-Lime Inc. sole and absolute discretion, disrupts, interferes with or is harmful to (or threatens to disrupt, interfere with, or be harmful to) the Services, Half-Lime.com's business, operations, reputation, goodwill, customers and/or customer relations, or the ability of Half-Lime.com's customers to effectively use the Services is prohibited. Such prohibited activities include making available any program, product or service that is designed to or could be used to violate this Usage Policy. In addition, the failure by a Subscriber to cooperate with Half-Lime Inc. in correcting or preventing violations of this Usage Policy by, or that result from the activity of, a customer of the Subscriber is a violation of this Usage Policy.
In general, Half-Lime Inc does selective monitoring of its customers' content or activities to determine whether they are in compliance with this Usage Policy. When Half-Lime Inc. becomes aware of any violation of this Usage Policy or its User Agreement, Half-Lime Inc. may take any action to stop or correct such violation, including, but not limited to, shutting down a website, denying access to the Services or to the Internet, and/or removing information. In addition, Half-Lime Inc. may take action against a Subscriber or a customer of such Subscriber because of the activities of such customer. Half-Lime.com reserves the right to take any such action even though such action may affect other customers of the Subscriber.
Half-Lime Inc. may disclose any information in its possession, including, without limitation, information about Subscribers, internet transmissions and website activity in order to comply with a court order, subpoena, summons, discovery request, warrant, statute, regulation or governmental request, to protect Half-Lime Inc. or others from harm, and/or to ensure the proper operation of the Services. Half-Lime Inc. has no obligation to notify any person, including the Subscriber about whom information is sought, that Half-Lime Inc. has provided the information.
Copyright Notice Infringement Information
In accordance with the Digital Millennium Copyright Act, Half-Lime Inc. has adopted a policy that provides for termination of content hosted by Half-Lime.com that is found to infringe on copyrights of third parties. If a copyright holder believes that there has been a violation of his or her copyright on Half-Lime.com or its subsidiaries, and the copyright holder wants Half-Lime Inc. to remove the website or disable the material in question, Half-Lime Inc. will remove the website or disable the material if the copyright holder provides us with all of the following information: A signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed. Identification of the copyrighted work that is claimed is being infringed, or, in the case of claimed infringement of multiple copyrighted works, a representative list of such works. Identification of the material that is claimed to be infringing or is the subject of infringing activity and that should be removed or access to which should be disabled, with information reasonably sufficient to permit us to locate the material.
A statement that the person giving the notification has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. A statement that the information in the notification is accurate, and under penalty of perjury, that the person giving the notification is authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
